These Terms of Service ("Terms") govern your use of Scriptly, a product of UpwardScript ("Company", "we", "us", or "our"). By accessing or using our platform, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using Scriptly, you acknowledge that you have read, understood, and agree to these Terms. If you are using Scriptly on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

Scriptly is an AI-powered chatbot platform that allows you to:

• Create and deploy conversational AI chatbots on your website
• Train chatbots using your website content, documents, and FAQs
• Manage conversations and provide live agent support
• Access analytics and usage insights

3. Account Registration

To use Scriptly, you must create an account with accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized use

4. Subscription Plans & Billing

Scriptly offers multiple subscription tiers (Hobby, Starter, Pro, Business). By subscribing to a paid plan:

• You agree to pay the fees associated with your chosen plan
• Payments are processed through Razorpay and are non-refundable unless otherwise stated
• Plan limits (chatbots, messages, pages) are enforced per billing cycle
• You may upgrade or downgrade your plan at any time

5. Acceptable Use

You agree not to:

• Use the service for any unlawful purpose
• Upload malicious, harmful, or infringing content
• Attempt to reverse-engineer, hack, or disrupt the platform
• Resell or redistribute access to the service without permission
• Use the service to generate spam, misleading, or deceptive content
• Exceed your plan's rate limits through automated means

6. Intellectual Property

Your Content

You retain ownership of all content you provide to train your chatbot (website content, documents, FAQs). By uploading content, you grant us a limited license to process and use that content solely to provide the service.

Our Platform

Scriptly, including its design, code, features, and documentation, is owned by UpwardScript. You may not copy, modify, or distribute our platform without permission.

7. Data & Privacy

Your use of Scriptly is also governed by our Privacy Policy. We process data in accordance with applicable privacy laws.

8. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted service. We may perform maintenance that temporarily affects availability. We will make reasonable efforts to provide advance notice of planned downtime.

9. Limitation of Liability

To the maximum extent permitted by law, UpwardScript shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of Scriptly. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Termination

We may suspend or terminate your account if you violate these Terms. You may cancel your account at any time. Upon termination, your data will be retained for 30 days before deletion, unless you request immediate deletion.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the platform. Continued use after changes constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of India. Any disputes shall be resolved in the courts of competent jurisdiction in India.
